Dr Marijan Kocbek is a full professor and chair of the commercial law department at the Faculty of Law, University of Maribor. After completing his doctorate on the legal status frameworks of the commercial activities of Yugoslav companies in the USA, which he defended at the Faculty of Law, University of Ljubljana in 1989, Dr Kocbek undertook further study at New York State University and Cleveland State University. His scientific and specialist discussions and articles deal mainly with status-related commercial law, i.e. corporate law and securities law. He publishes in domestic and foreign academic and specialist journals, and contributes articles on Slovenian commercial and corporate law for domestic and foreign publishers. He is the author and co-author of several monographs on subjects such as corporate law, shares and public limited companies, supervisory boards in public limited and limited liability companies, company law, and so on. He has worked on the legal commentary of the Takeovers Act and on the three-volume commentary on the Companies Act (first edition and second expanded edition). Dr Kocbek is also well-known for playing a leading role in formulating Slovenian legislation in the field of corporate law.
He has taken part in or been responsible for producing a number of research papers, chiefly in the field of commercial status law (chief researcher on Obligational, Property and Status Law Elements of Debt and Corporate Securities, Status Law and Administrative Aspects of Company Organisation in the Post-Privatisation Period, Further Harmonisation of Slovenian Corporate Law, Company Takeovers and Mechanisms for Defending Against Them, Comparative Illustrations of Legal Regulations on Company Takeovers in Selected Western European Countries, the USA and the European Union), as well as a very extensive research study on the Harmonisation of Slovenian Company Law with EU Company Law (PHARE project). Dr Kocbek has lectured at numerous academic conferences and specialist seminars.
He is also very creative in his approach to the organisation of the legal profession in Slovenia. For several years he was president of the Association of Commercial Law Societies (and the previous Slovenian Association of Societies of Commercial Lawyers), and is now vice-president and member of the management board of the Slovenian Association of Lawyers Societies. For many years from 1989, Dr Kocbek was one of the joint presidents of the largest annual academic conference of Slovenian lawyers (‘Slovenian Lawyer Days’) in Portorož, and is currently a member of the conference’s programme and organisational committee. He is also an active member of the Maribor Society of Commercial Lawyers, serving as vice-president for several years. Dr Kocbek is president of the programme committee of ‘Economic operators on the market’, the well-established consultative body, and has been editor-in-chief of the journal Podjetje in delo (Company and Labour) since 1994.
